Terms & conditions

These terms and conditions apply to all quotes, agreements and services of NRL Automations, based in Den Haag (Nederland), registered with the Dutch Chamber of Commerce under number 87679361, VAT NL004464365B31 (“NRL Automations”, “we” or “us”).
1. Definitions
- Client: the person or organisation that enters into an agreement with us or requests one.
- Services: developing, building, integrating and maintaining custom AI agents, automations, workflows and AI infrastructure.
- Materials: all systems, code, configurations, prompts, documentation and advice we develop or deliver.
2. Applicability
These terms apply to every quote and agreement unless explicitly agreed otherwise in writing. The client's own terms are expressly rejected. If any provision is void, the remaining provisions stay in full force.
3. Offers and quotes
All offers and quotes are without obligation and valid for thirty (30) days unless stated otherwise. An agreement is formed when the client accepts a quote or proposal in writing or by email, or when we start performing the work.
4. Performance of the services
We deliver custom work to the best of our knowledge and ability. This is a best-efforts obligation, not a guarantee of result: we do not guarantee specific commercial outcomes, lead volumes, revenue or rankings.
Our services use AI models and automated systems. AI output can contain errors. The client remains responsible for reviewing and approving content, messages and actions before they are finalised or sent, unless explicitly agreed otherwise.
5. Client cooperation
The client provides the information, access, accounts and API keys needed in time, and is responsible for the accuracy and lawfulness of supplied data and for complying with the terms of connected third-party services (such as GoHighLevel, WhatsApp, Instagram, Meta, n8n and others). Delays caused by missing cooperation are for the client's account.
6. Pricing and payment
All prices are in euros and exclusive of VAT unless explicitly stated otherwise.
Project payment
Unless agreed otherwise, projects are paid in two instalments: 50% on start of the assignment and 50% on delivery. Both instalments are exclusive of VAT. After the second (final) payment is received, the project is considered delivered and any monthly costs begin.
Monthly costs
Every client pays standard monthly hosting and management fees to keep the delivered systems running, secure and up to date, unless agreed otherwise in writing. The amount depends on the scope and complexity of the setup and is agreed in advance.
Third-party costs, tokens and usage
Costs for third-party usage, such as API and token consumption (for example of AI models), licences and external hosting, are for the client's account and are in principle in the client's name. By agreement, NRL Automations can take over this management; in that case a fixed monthly amount covering these costs is agreed.
Invoicing
Invoices are due within fourteen (14) days. Late payment puts the client in default and work or services may be suspended.
7. Term, suspension and termination
Ongoing services run for the agreed period and are cancellable monthly with one (1) month's notice unless agreed otherwise. On termination, work already performed is charged.
8. Intellectual property
After full payment, the client receives a right to use the materials developed specifically for them. Underlying methods, frameworks, reusable components and know-how remain ours and may not be resold or commercialised without permission.
9. Liability
Our liability is limited to the amount invoiced under the relevant agreement over the last three (3) months. We are not liable for indirect or consequential damage, lost profit, or damage from incorrect AI output, outages or changes in third-party services. This limitation does not apply in case of intent or deliberate recklessness.
10. Force majeure
In case of force majeure our obligations are suspended, including outages or changes to third-party services and APIs and other circumstances beyond our reasonable control.
11. Confidentiality and data
Both parties treat confidential information as such. We process personal data in line with the GDPR. See our privacy policy. Where we process personal data on the client's behalf, we conclude a data processing agreement on request.
12. Governing law
Dutch law applies. Disputes are submitted to the competent court in The Hague unless mandatory law provides otherwise.
